Terms of Service
The agreement between SpEd Coach and the organizations and individuals who use the platform.

1. Agreement and Parties
These Terms of Service ('Terms') govern your access to and use of the SpEd Coach platform, including all modules, features, and related services ('Services') provided by SpEd Coach, LLC ('SpEd Coach,' 'we,' or 'us'). 'You' refers to the individual user and, where applicable, the organization on whose behalf you are acting.
2. Who May Use SpEd Coach
SpEd Coach is designed for use by school districts, educational organizations, special education teams, evaluators, and related service providers. By using the platform, you represent that you are at least 18 years of age and have authority to enter into this agreement. Individual staff members use SpEd Coach under the authorization of their organization administrator.
3. The Services
SpEd Coach provides modular workflow and documentation tools for special education operations, including IEP development, evaluation coordination, related service scheduling, meeting documentation, and records review. Features are added and updated over time. We will provide reasonable notice of material changes to functionality.
4. Acceptable Use
You agree to use SpEd Coach only for lawful purposes and in accordance with these Terms. You agree not to:
- Access or attempt to access data belonging to another organization
- Attempt to bypass or circumvent authentication, role-based access controls, or audit logging
- Upload content you do not have the right to share or that violates applicable law
- Use the platform to make automated eligibility, placement, or service decisions without qualified human review
- Reverse engineer, decompile, or attempt to extract source code
- Use the platform in any manner that could damage, disable, or impair it
- Share your account credentials with unauthorized individuals
5. AI Features and Human Review
SpEd Coach includes AI-assisted features designed to help qualified professionals work more efficiently. AI features generate drafts, summaries, and suggestions - they do not make final determinations. You agree that:
- All AI-generated content must be reviewed, edited, and approved by a qualified professional before use, filing, or sharing
- AI features do not determine eligibility, placement, services, or accommodations
- AI features do not replace professional judgment by educators, evaluators, or legal counsel
- You are responsible for the accuracy and appropriateness of any content finalized through the platform
6. Educational Records and Data
Your organization is the data controller for the educational records created or uploaded in your workspace. SpEd Coach acts as a data processor. You are responsible for:
- Ensuring lawful use and handling of educational records under FERPA, IDEA, and applicable state law
- Managing appropriate staff access and permissions within your workspace
- Reviewing AI-assisted outputs before distributing or relying on them
- Your organization's compliance, recordkeeping, and retention obligations
SpEd Coach implements technical safeguards to protect educational data, including encryption, tenant isolation, audit logging, and AI governance controls. See our Privacy Policy and FERPA Awareness pages for details.
7. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify your organization administrator immediately if you believe your account has been compromised. SpEd Coach is not liable for unauthorized access resulting from your failure to maintain credential security.
8. Fees and Payment
Access to SpEd Coach is provided under a subscription agreement. Fees are described in your organization's service agreement. Payment is due as specified in that agreement. SpEd Coach reserves the right to suspend access for non-payment after reasonable notice.
9. Intellectual Property
SpEd Coach and its licensors own all intellectual property rights in the platform, including software, design, and documentation. Your organization retains ownership of the educational data and content created within your workspace. Nothing in these Terms transfers ownership of your organization's data to SpEd Coach.
10. No Legal or Professional Advice
SpEd Coach is a workflow and documentation tool. Nothing in the platform constitutes legal advice, educational advice, medical advice, or a substitute for the professional judgment of qualified educators, evaluators, or legal counsel. Document drafts produced by the platform - including AI-assisted drafts - require human review and approval before use.
11. Disclaimers
SpEd Coach is provided "as is" and "as available." To the maximum extent permitted by applicable law, SpEd Coach disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected.
12. Limitation of Liability
To the maximum extent permitted by law, SpEd Coach's total liability for any claim arising from or relating to these Terms or the Services shall not exceed the fees paid by your organization in the twelve months preceding the claim. In no event shall SpEd Coach be liable for indirect, incidental, special, consequential, or punitive damages.
13. Termination
Either party may terminate the service agreement in accordance with its terms. Upon termination, your organization may request export or deletion of workspace data through support@spedcoach.com within thirty (30) days of termination. SpEd Coach may suspend or terminate access for material breach of these Terms after reasonable notice.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Disputes shall be resolved in the courts of competent jurisdiction in Texas.
15. Changes to These Terms
We may update these Terms from time to time. We will notify organization administrators of material changes. Continued use of SpEd Coach after the effective date of updated Terms constitutes acceptance.
